Terms of Use

These Terms of Use (“Terms”) are a binding agreement between you and OREL Smart Solutions (a registered trade name) (“we,” “us,” or “our”) governing your access to and use of our websites, landing pages, and services (the “Services”). By using the Services, you agree to these Terms.

1. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Services.

2. The Services

We provide AI-powered marketing, content, and business-automation services. We may add, change, or discontinue features at any time. Service descriptions and pricing are as presented at the point of sale and may be updated.

3. Accounts

If you create an account, you are responsible for the accuracy of your information and for keeping your credentials secure. You are responsible for activity under your account.

4. Acceptable use

You agree not to: (a) use the Services unlawfully or to send spam or unsolicited messages in violation of applicable law; (b) infringe others’ rights; (c) attempt to disrupt, reverse engineer, or gain unauthorized access to the Services; or (d) misrepresent your identity or authority.

5. Payments and subscriptions

Paid plans are billed in advance on a recurring basis unless stated otherwise. Unless required by law, fees are non-refundable. You authorize us and our payment processor to charge your payment method. You can cancel future renewals as described in your account or by contacting us.

7. Your content and license

You retain ownership of content and materials you submit (“Your Content”). You grant us a worldwide, non-exclusive license to host, process, and use Your Content to operate and improve the Services, including to train and improve our AI as described in our Privacy Policy. You represent that you have the rights to grant this license.

8. Our intellectual property

The Services, including software, designs, and trademarks, are owned by us or our licensors and are protected by law. We grant you a limited, revocable, non-transferable license to use the Services for their intended purpose.

9. Third-party services

The Services may integrate third-party platforms (social, email, payment, AI providers). Your use of those is subject to their terms, and we are not responsible for them.

10. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW.

11. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS OR REVENUE. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICES IN THE 3 MONTHS BEFORE THE CLAIM.

12. Indemnification

You agree to indemnify and hold us harmless from claims arising out of your use of the Services, Your Content, or your violation of these Terms or applicable law.

13. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-laws rules. You agree to the exclusive jurisdiction and venue of the state or federal courts located in the State of Delaware, except where applicable consumer law gives you the right to bring a claim in your home jurisdiction.

14. Changes and termination

We may update these Terms by posting a new version with a new effective date; continued use means you accept the changes. We may suspend or terminate access for any violation of these Terms.
